RESELLER RIGHTS LICENSE

1. This is a License Agreement between YOU, the purchaser (“Licensee”) of RoyalShot Reseller Packages and Royalshot.com (“Licensor”). All photos, vectors, graphics (“Images”) on the RoyalShot.com are protected by United States and international copyright laws and treaties. RoyalShot reserves all rights in and to the Images not expressly granted to you by the terms of this License. Your rights to use any Image are subject to this License Agreement and are conditioned upon your payment to RoyalShot.com for your use of the Reseller Photos, Reseller Vector Graphics or Reseller Stock. You must REGISTER within 30 days of Purchase for this License to be valid.

2. As a Reseller Rights Licensee, you have rights to use the downloaded Images, subject however, to the terms of this RoyalShot Reseller Agreement.

3. As Reseller Rights Licensee you may not distribute any of the Images for free. Each Image must be sold or part of a service that charges a fee. For example: If you are a designer selling website templates to users, if you either sell the templates on individual basis or charge a membership service to access your templates this is acceptable under the terms and conditions. You cannot however offer the web templates you create with the photos/images for free.

4. As Reseller Rights Licensee you may not distribute any of vector graphics for free. Each image must be sold or part of a service that charges a fee. See Section 1 for an example.

5. As Reseller Rights Licensee you may not distribute any Photo, Image, or Vector graphics for free or imbed any such graphics into any content to be offered free without charge.

6. As Reseller Rights Licensee, 3rd Party and Private Label Sales are STRICTLY PROHIBITED. For example: You are prohibited from selling our Packages on 3rd party sites such as istock.com. You are prohibited from selling our Packages as a Private Label and/or extending reseller rights to a 3rd Party. Such Sales are strictly prohibited and considered competition to RoyalShot.

7. As Reseller Licensee you may not resell Images through any other website other than the URL you provide with PRODUCT REGISTRATION. If your URL changes, you must Contact us notifying us of the change in your URL.

8. A Single Purchase of a Reseller Package equals to a Single Website License: When You Purchase a Package for Resale Your License is Limited to ONE Domain/Website (which you own or control) ONLY! Additional License Purchases for more domains/websites.

9. As Reseller Rights Licensee you may sell the Images through membership sites as single sales or prints and/or part of templates.

10. As Reseller Rights Licensee you may distribute the Image for purchase only. Example of websites would be Royalty Free Stock Photo Websites, On-Line Prints Photo Websites, Multimedia Stock Websites, and Template Websites.

11. You may not distribute Images free or as free gifts.

12. As a Reseller Rights Licensee you have the right to a royalty-free, perpetual license of the Images subject to the terms and conditions.

13. You may alter, re-design the Image and resell the Image subject to the terms and conditions. All content altered and/or re-designed are still subject to the terms and conditions. You are prohibited from selling such altered /re-designed content as a Private Label and/or extending reseller rights to a 3rd Party.

14. As Reseller Rights Licensee, you may use all Images in any kind of artwork; such as graphic design, prints, graphic templates, web design; and any media such as TV still images, billboards, newspapers, magazines, ebooks, displays, presentations etc. You may print and resale postcards, posters, book and other periodicals in unlimited quantities.

15. As Reseller Rights Holder Buyer may use all the photos/images/vector graphics/footage for any kind of artwork; like graphic design, prints, graphic templates, web design and any media like TV still images, billboards, newspapers, magazines, ebooks, displays, presentations etc. For a LifeTime. There is no additional costs for any other kind of using in these media. Reseller Rights holder may print and resale postcards, posters, book and other periodicals in any quantity for unlimited time.

16. As a Reseller Rights Licensee, these rights are NON-TRANSFERABLE except in the event Licensee sells the Website which holds the RoyalShot content. Such a transaction must be notified to Royalshot in writing and an additional PRODUCT REGISTRATION will be required along with an additional processing fee. Contact us

PLEASE PRINT THIS AGREEMENT FOR YOUR RECORDS. WITH EACH PURCHASE, PRODUCT REGISTRATION IS REQUIRED FOR FUTURE VERIFICATION OF PROOF AS A RESELLER RIGHTS LICENSEE. ROYALSHOT WILL CHECK FROM TIME TO TIME WHETHER A DOMAIN/URL REGISTERED MATCHES WITH THE LICENSEE ON RECORD.

ROYALSHOT.COM SHALL NOT BE LIABLE TO LICENSEE OR TO ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF LICENSEE’S USE OF THE IMAGE(S). IN NO EVENT, SHALL ROYALSHOT'S TOTAL AGGREGATE LIABILITY TO LICENSEE, OR TO ANY THIRD PARTY CLAIMING THROUGH LICENSEE, ARISING OUT OF OR IN CONNECTION WITH LICENSEE USE OF OR INABILITY TO USE THE ROYALSHOT.COM WEBSITE AND/OR IMAGE(S) /PHOTO(S) CONTAINED THEREON (WHETHER IN CONTRACT, TORT OR OTHERWISE) EXCEED THE MONETARY AMOUNT ACTUALLY RECEIVED BY ROYALSHOT FROM YOU, THE LICENSEE FOR YOUR USE OF THE APPLICABLE IMAGE(S).

This contract is governed by and shall be construed in accordance with the laws of the State of California. You hereby consent to the personal jurisdiction of the state and federal courts located within such state. All actions, controversies and disputes arising from or relating to this agreement shall be heard and decided exclusively before the courts located within the State, County and City of San Mateo and not elsewhere. You agree that service of process in any actions, controversies and disputes arising from or relating to these TOS may be effected by mailing a copy thereof by registered or certified mail (or any substantially similar form of mail), postage prepaid, to the other party however, nothing herein shall affect the right to effect service of process in any other manner permitted by law. This agreement shall be construed neither against nor in favor of any party, but rather in accordance with the fair meaning of the language hereof. FREE DISTRIBUTION LICENSE

1. This is a License Agreement between YOU, the purchaser (“Licensee”) of RoyalShot Free Distribution Packages and Royalshot.com (“Licensor”). All photos and graphics (“Images”) on the RoyalShot.com are protected by United States and international copyright laws and treaties. RoyalShot reserves all rights in and to the Images not expressly granted to you by the terms of this License. Your rights to use any Image are subject to this License Agreement and are conditioned upon your payment to RoyalShot.com for your use of the Free Distribution Images. You must REGISTER within 30 days of Purchase for this License to be valid.

2. As a Free Distribution Licensee you May Redistribute For Free All Purchased Photos from the FreePhoto Packages Page for royalty-free perpetual license on one website/URL. Licensee May Earn Money From Advertisers such as: AdSense, AdBrite Etc. ) You may NOT sell Images of the Free Distribution Images on your website, all Free Distribution Images must be distributed freely.
